Since June 9, 2026, the Company has received requests for information from Nasdaq on certain matters and circumstances\nleading to the Trading Halt. As of the date of this current report on form 8-K, the Company has been actively responding to Nasdaq’s\nrequests for information.\n\n \n\nOn\nJune 25, 2026, the U.S. District Court for the Southern District of Texas entered a temporary restraining order against the Company,\nconsidering a motion for temporary restraining order, a complaint and other documents filed by certain plaintiff. The Company finds the\nallegations without merit and is defending itself vigorously."}
