Eng Chye Koh, our Chairman and\nChief Executive Officer, is the sole owner of all of the issued and outstanding Ordinary Shares of All Wealthy International Limited,\nand therefore has sole voting and dispositive power over the Class A shares and Ordinary Shares held by All Wealthy International Limited.\nMr. Koh owns 51 Ordinary Shares of iO3 Strategic, which represents 51% of the total issued and outstanding Ordinary Shares of iO3 Strategic.  As\na result, Mr. Koh has sole voting and dispositive power over all of the Class A shares held by iO3 Strategic.\n\n \n\n(5)The\nOrdinary Shares of iO3 Strategic are owned in the following proportions by the following individuals: 51% (Mr. Koh), 20% (Ms. Soh), 10%\n(Zhenhua Yin), 10% (Mr. See) and 9% (Loo Koon Goh). However, pursuant to the organizational documents of iO3 Strategic, Mr. Koh has sole\nvoting and dispositive power over all of the Class A shares held by iO3 Strategic. Ms. Soh, Mr. Yin, Mr. See, and Mr. Goh disclaim beneficial\nownership of the Class A shares held by iO3 Strategic except to the extent of their pecuniary interests therein.\n\n \n\n(6)Mr.\nKoh has sole voting and dispositive power over the 403,435 Class A shares and 89,285 Ordinary Shares held by All Wealthy International\nLimited, a British Virgin Islands company.\n\n \n\n**7.B. Related Party Transactions**\n\n** **\n\nUnless otherwise noted, the\nfollowing is a description of related party transactions we have entered into since April 1, 2025, with any of the members of our board\nof directors, any executive officer, any holder of more than 5% of the Ordinary Shares at the time of such transaction, or any members\nof their immediate family, that had or will have a direct or indirect material interest, other than compensation arrangements, which are\ndescribed under “*Item 6.B. Compensation.*”\n\n \n\n72\n\n \n\n \n\nThe bank borrowings of the\nCompany were guaranteed by personal guarantees provided by certain directors of the Company. No guarantee fee was paid or payable by the\nCompany.\n\n \n\nAs of March 31, 2025, amounts\ndue to directors were $329,427, which were included in other payables and accrued liabilities in the consolidated balance sheet. The amounts\ndue to directors were unsecured, non-interest bearing and repayable on demand. During the fiscal year ended March 31, 2026, the Company\nfully repaid the amounts due to directors. As of March 31, 2026, there were no amounts due to directors.\n\n \n\n**Related Party Transaction Policy**\n\n \n\nPursuant to our related party\ntransaction policy, any related party transaction must be approved or ratified by our audit committee of our board of directors. In determining\nwhether to approve or ratify a transaction with a related party, our audit committee will consider all relevant facts and circumstances,\nincluding without limitation the commercial reasonableness of the terms, the benefit and perceived benefit, or lack thereof, to us, opportunity\ncosts of alternate transactions, the materiality and character of the related party’s direct or indirect interest and the actual\nor apparent conflict of interest of the related party. Our audit committee will not approve or ratify a related party transaction unless\nit has determined that, upon consideration of all relevant information, such transaction is in, or not inconsistent with, our best interests\nand the best interests of our shareholders.\n\n \n\n**7.C.
