(the “Company”) that he is resigning from his position\nas Senior Vice President, Chief Financial Officer, effective May 15, 2026. Mr. Martini’s resignation is not due to any disagreement\nwith the Company on any matter relating to the Company’s financial reporting.\n\n \n\nEffective\nMay 15, 2026, Ronald Silver, age 44, the Company’s Senior Vice President, Corporate Controller and Chief Accounting Officer,\nwill also serve as the Company’s interim chief financial officer and principal financial officer. Mr. Silver joined the\nCompany in June 2018. Mr. Silver has served as the Company’s Senior Vice President, Corporate Controller and Chief Accounting\nOfficer since January 2025. Mr. Silver previously served as the Company’s Corporate Controller and principal accounting\nofficer from July 2021, Corporate Controller from April 2019 to July 2021, and Assistant Controller from June 2018 until April 2019.\nPrior to joining the Company, Mr. Silver held various accounting and financial reporting positions at Eze Software Group LLC from\nAugust 2014 to June 2018, including Director of Technical Accounting & Reporting from January 2016 to November 2016, and\nDirector of Accounting & Assistant Controller from December 2016 to June 2018. Earlier in his career, Mr. Silver held various\npositions of increasing responsibility in the audit and consulting practices at RSM, LLP from August 2004 through August 2014. Mr.\nSilver, a Certified Public Accountant, earned a B.S. in accounting from the University of Maryland and an M.B.A. from the McDonough\nSchool of Business at Georgetown University.\n\n \n\nThere\nis no arrangement or understanding between Mr. Silver and any other person pursuant to which Mr. Silver was selected as the Company’s\ninterim chief financial officer or principal financial officer, effective May 15, 2026.
