Description of Securities Other than Equity Securities\n\nFEES AND PAYMENTS RELATING TO OUR AMERICAN DEPOSITARY SHARES\n\nSCHEDULE OF FEES AND CHARGES\n\nCitibank N.A., or the Depositary, serves as the depositary for our ADSs. As an ADS holder, you will be required to pay the following service fees to the Depositary:\n\n \n\nService\n\n  \n\nFee\n\nIssuance of ADSs upon deposit of Shares\n\n  \nUp to 5¢ per ADS issued\n\nCancellation of ADSs and delivery of deposited securities\n\n  \nUp to 5¢ per ADS canceled\n\nExercise of rights to purchase additional ADSs\n\n  \nUp to 5¢ per ADS issued\n\nDistribution of cash dividends or other cash distributions upon a sale of rights and other entitlements\n\n  \nUp to 5¢ per ADS held\n\nAs an ADS holder you will also be responsible to pay various fees and expenses incurred by the Depositary and various taxes and governmental charges such as:\n\n \n\n \n•\n \n\nTaxes, including applicable interest and penalties, and other governmental charges;\n\n \n\n \n•\n \n\nFees for the transfer and registration of Shares charged by the registrar and transfer agent for the Shares in Japan (i.e., upon deposit and withdrawal of Shares);\n\n \n\n \n•\n \n\nExpenses incurred for converting foreign currency into U.S. dollars;\n\n \n\n \n•\n \n\nExpenses for cable, telex and fax transmissions and for delivery of securities;\n\n \n\n \n•\n \n\nFees and expenses of the Depositary incurred in connection with compliance with exchange control regulations and regulatory requirements applicable to the Shares or ADSs; and\n\n \n\n \n•\n \n\nFees and expenses of the Depositary in delivering deposited securities.\n\nWe have agreed to pay some other charges and expenses of the depositary bank. Note that the fees and charges you may be required to pay may vary over time and may be changed by us and by the depositary bank. You will receive prior notice of these changes.\n\nPAYMENTS TO ORIX FROM THE DEPOSITARY\n\nThe Depositary has agreed to reimburse us for certain expenses we incur in connection with our ADR program.
