The timing, manner, price and amount of any\n\ncommon stock repurchases will be determined by KKR in its discretion and will depend on a variety of factors, including legal\n\nrequirements, price and economic and market conditions. KKR expects that the program, which has no expiration date, will\n\ncontinue to be in effect until the maximum approved dollar amount has been used. The program does not require KKR to\n\nrepurchase any specific number of shares of common stock, and the program may be suspended, extended, modified or\n\ndiscontinued at any time. In addition to the repurchases of common stock described above, the repurchase program is used\n\nfor the retirement (by cash settlement or the payment of tax withholding amounts upon net settlement) of equity awards\n\nissued pursuant to our Equity Incentive Plan representing the right to receive shares of common stock.\n\nAs of May 1, 2026, there is approximately $122 million remaining under KKR's share repurchase program.\n\nThe table below sets forth the information with respect to repurchases made by or on behalf of KKR & Co. Inc. or any\n\n\"affiliated purchaser\" (as defined in Rule 10b-18(a)(3) under the Exchange Act) of our common stock for the periods\n\npresented. During the three months ended March 31, 2026, 2,173,970 shares of common stock were repurchased, and 578\n\nequity awards were retired.\n\nIssuer Purchases of Common Stock\n\n(amounts in thousands, except share and per share amounts)\n\nTotal Number\n\nof Shares\n\nPurchased\n\nAverage Price\n\nPaid Per Share\n\nTotal Number\n\nof Shares\n\nPurchased as\n\nPart of Publicly\n\nAnnounced\n\nPlans or\n\nPrograms\n\nApproximate\n\nDollar Value of\n\nShares that\n\nMay Yet Be\n\nPurchased\n\nUnder the Plans\n\nor Programs (1)\n\nMonth #1\n\n(January 1, 2026 to January 31, 2026)\n\n—\n\n$—\n\n—\n\n$439,178\n\nMonth #2\n\n(February 1, 2026 to February 28, 2026)\n\n21,598\n\n$92.60\n\n21,598\n\n$437,133\n\nMonth #3\n\n(March 1, 2026 to March 31, 2026)\n\n2,152,372\n\n$87.92\n\n2,152,372\n\n$247,877\n\nTotal through March 31, 2026\n\n2,173,970\n\n2,173,970\n\n$247,877\n\n(1)Our existing share repurchase program was announced in April 2024. In March 2026, the share repurchase program was amended such that when the\n\nremaining available amount under the share repurchase program becomes $50 million or less, the total available amount under the share repurchase\n\nprogram will automatically increase by an additional $500 million to the then remaining available amount (the “Share Repurchase Program Increase\n\nThreshold”). As of May 1, 2026, there was approximately $122 million remaining under the program. Any additional increases to the total available\n\namount after the Share Repurchase Program Increase Threshold is reached would require a separate approval by the Board of Directors of KKR & Co. Inc.\n\nThe repurchase program does not have an expiration date.\n\n152\n\n[Table of Contents](#id8ecce893738490fb9a1e4905b354f92_523)\n\nUnregistered Sales of Equity in the Three Months Ended March 31, 2026\n\nOn March 30, 2026, we issued 15,105 shares of KKR & Co.
