Hennessy was appointed to the SPAC Board.\n\n \n\n**Thomas\nD. Hennessy**has served as a President of Hennessy Capital Group, LLC, an alternative investment firm founded in 2013 that focuses\non investing in industrial innovation, clean energy, technology, and critical minerals and mining companies. Since February 2026, Mr.\nHennessy has served as President and director of Hennessy Capital Investment Corp. VIII, a special purpose acquisition company. Since\nJanuary 2025, Mr. Hennessy has also served as President, Chief Operating Officer, and director of Hennessy Capital Investment Corp. VII,\na special purpose acquisition company. Since August 2023, Mr. Hennessy has served as chief executive officer and a director of Compass\nDigital Acquisition Corp., a special purpose acquisition company. Mr. Hennessy has previously served as a Chairman and CEO of Global Technology\nAcquisition Corp. I, a special purpose acquisition company. Mr. Hennessy has previously served as a director of TortoiseEcofin Acquisition\nCorporation III, a special purpose acquisition company. Mr. Hennessy has previously served as Chairman and Chief Executive Officer of\ntwo, a special purpose acquisition company, which in March 2024 closed a business combination agreement with LatAm Logistic Properties\nS.A. (NYSE: LPA), a leading developer, owner, and manager of institutional quality, class A industrial and logistics real estate in Central\nand South America. Mr. Hennessy has previously served as a director of Jaguar Global Growth Corporation I, a SPAC, which in October 2023\nclosed a business combination with Captivision Inc. (Nasdaq: CAPT), a leading designer and manufacturer of architectural media display\nglass. Mr. Hennessy has previously served as a director of 7GC & Co. Holdings, a SPAC, which in December 2023 closed a business combination\nwith Banzai International Inc. (Nasdaq: BNZI), a leading marketing technology company that provides data-driven marketing and sales solutions.\nPreviously, Mr. Hennessy served as Chairman, Co-Chief Executive Officer, and President of PropTech Acquisition Corporation’s business\ncombination with Porch Group Inc. (Nasdaq: PRCH) in 2020 and subsequently served as an independent director of Porch Group. Mr. Hennessy\npreviously served as a Portfolio Manager of Abu Dhabi Investment Authority and prior to that as an Investment Associate for Sam Zell’s\nEquity International. Mr. Hennessy started his career in the Investment Bank at Credit Suisse. Mr. Hennessy holds a B.A. degree from Georgetown\nUniversity and an MBA from the University of Chicago Booth School of Business. Mr. Hennessy is qualified to serve as one of our directors\ndue to his extensive experience with special purpose acquisition companies and his expertise in mergers and acquisitions.\n\n \n\n9\n\n \n\n \n\nSPAC\nhas entered into its standard director indemnification agreement with Mr. Hennessy. Pursuant to the indemnification agreement, SPAC has\nagreed to indemnify and hold harmless Mr. Hennessy to the fullest extent permitted by applicable law and the Amended and Restated Memorandum\nand Articles of Association of SPAC, subject to certain exceptions.
