The transaction was previously described in the Company’s\nDefinitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on January 30, 2026 (File No.\n001-42140) and approved by the Company’s shareholders at the 2026 Annual Meeting of Stockholders held on February 12, 2026,\nthe results of which were reported in the Company’s Current Report on Form 8-K filed on February 18, 2026 (File No.\n001-42140). The transactions contemplated by the Share Purchase Agreement were consummated on May 16, 2026.
