(“LTC”)\nentered into the Second Amendment (the “Amendment”) to its Credit Agreement dated July 21, 2025, as amended by the First Amendment\nto Credit Agreement dated as of December 12, 2025 (collectively, the “Credit Agreement”), with KeyBank National Association,\nas Administrative Agent and L/C Issuer, and KeyBank National Association, Wells Fargo Bank, National Association, Citizens Bank, N.A.,\nThe Huntington National Bank, Royal Bank of Canada, U.S. Bank National Association, Manufacturers and Traders Trust Company and Hancock\nWhitney Bank, as Lenders. In addition, KeyBanc Capital Markets, Inc., Wells Fargo Securities, LLC, Citizens Securities, Inc. and The Huntington\nNational Bank, are serving as Joint Lead Arrangers and Joint Book Runners; Wells Fargo Bank, National Association, The Huntington National\nBank and Citizens Bank, N.A. are serving as Co-Syndication Agents; Royal Bank of Canada, U.S. Bank National Association and Manufacturers\nand Traders Trust Company are serving as Co-Documentation Agents; and Royal Bank of Canada, is serving as Sustainability Agent.\n\n \n\nThe Amendment increases the aggregate\ncommitment of the lenders under the Credit Agreement from $800 million to $1.1 billion by exercising the incremental facility in\naccordance with the terms of the Credit Agreement. The $300 million increase expands the aggregate revolving credit\ncommitments from $600 million to $900 million. The Credit Agreement was also revised to increase the total maximum commitments\npermitted from up to $1.2 billion to up to $2.0 billion. The material terms of the Credit Agreement otherwise remain unchanged.\n\n \n\nA copy of the Amendment is filed as Exhibit 10.1\nhereto and is hereby incorporated by reference. Annex I to the Amendment included in Exhibit 10.1 constitutes the Credit Agreement as\namended by the Amendment, marked to show changes.
