(the “Company”):\n\n1. Maverick Carter, Ping Fu, Richard Grenell, Jeff Hinson, Chad Hollingsworth, Jimmy Iovine, Jim Kahan, Randall Mays, Rich Paul, Michael Rapino, Carl Vogel, and Latriece Watkins were elected as directors to serve for a term of one year expiring at the annual meeting of stockholders to be held in 2027 or until their successors are elected and qualified;\n\n2. an advisory resolution was passed in favor of the Company’s executive compensation; and\n\n3.
