I/Cayman"},"word_count":400,"has_tables":true,"body_markdown":"**Item\n5.07 Submission of Matters to a Vote of Security Holders.**\n\n \n\nAt\nthe Meeting, the Company’s shareholders were presented with proposals to approve, by way of special resolution, the Extension Amendment\nto extend the date by which the Company must consummate a Business Combination on a monthly basis, up to six (6) times, from June 20,\n2026 through December 20, 2026, or such earlier date as determined by the Board (the “**Extension Amendment Proposal**”).\n\n \n\nAlso\nat the Meeting, the Company’s shareholders were presented with a proposal to ratify, by way of ordinary resolution, the selection\nby the Board’s Audit Committee of WithumSmith+Brown, PC to serve as the Company’s independent registered public accounting\nfirm for the year ending December 31, 2026 (the “**Auditor Ratification Proposal**” and together with the Extension Amendment\nProposal, the “**Proposals**”).\n\n \n\n1\n\n \n\n \n\nThe\nExtension Amendment Proposal was approved with the following vote from the holders of the Ordinary Shares:\n\n \n\nFor\n \nAgainst\n \nAbstentions\n \nBroker\nNon-Votes\n\n15,687,094\n \n3,284,050\n \n0\n \n1,275,879\n\n \n\nThe\nAuditor Ratification Proposal was approved with the following vote from the holders of the Ordinary Shares:\n\n \n\nFor\n \nAgainst\n \nAbstentions\n \nBroker\nNon-Votes\n\n16,788,360\n \n3,458,663\n \n0\n \n0\n\n \n\nA\nproposal to adjourn the Meeting, by way of ordinary resolution, to a later date or dates or indefinitely, if necessary, to permit further\nsolicitation and vote of proxies in the event that there were insufficient votes for, or otherwise in connection with, the approval of\nany of the Proposals was not presented because there were enough votes to approve the Proposals.\n\n \n\nIn\nconnection with the votes to approve the Extension Amendment Proposal, the holders of 12,076,077 Class A Ordinary Shares included as\npart of the units in the IPO (the “**Public Shares**”) properly exercised their right to redeem such shares for cash at\na redemption price of approximately $10.89 per share, for an aggregate redemption amount of approximately $131.5 million (the “**Meeting\nRedemptions**”). Following the Meeting Redemptions, there are 3,923,923 Public Shares currently issued and outstanding.\n\n \n\nThe\nMeeting was held, in part, to satisfy the annual meeting requirement pursuant to Listing Rule 5620(a) (the “**Rule**”)\nof The Nasdaq Stock Market LLC. Pursuant to the Rule, the Company was required to hold its first annual meeting of shareholders on or\nprior to December 31, 2026.
