As of June 18, 2026, we had 346 holders of record of our common stock. This does not include persons whose stock is in nominee or “street name” accounts held by banks, brokers and other nominees.\n\nDividends\n\nQuarterly cash dividends are at the discretion of our Board of Directors and will depend upon many factors, including our results of operations, liquidity position and compliance with debt covenants.\n\nIssuer Purchases of Equity Securities\n\nIn June 2024, the Board of Directors approved a share buyback authorization for the purchase of up to $200.0 million of our outstanding common stock which expired on June 17, 2026 (the “2024 Buyback Authorization”). Purchases under the 2024 Buyback Authorization could have been made on the open market, including pursuant to purchase plans designed to comply with Rule 10b5-1 of the Securities Exchange Act of 1934, or in private transactions.
