Consolidated Statements and Other Financial Information\n\nFinancial Statements\n\nOur consolidated financial statements are set forth in this annual report under “Item 18. Financial Statements.”\n\nLegal Proceedings\n\nWe are involved in normal collection proceedings initiated by us and other legal proceedings in the ordinary course of our business, none of which is currently expected to have a material adverse effect on our financial condition or results of operations. However, there can be no assurance that an adverse decision in one or more of these lawsuits will not have a material adverse effect.\n\nShareholder Return Policy\n\nBased on our capital management policy of pursuing the optimum balance between capital adequacy, growth investment and enhancement of shareholder return, we maintain our shareholder return policy of keeping progressive increase of dividends per share, while executing flexible and intermittent share buybacks. In addition, we will aim to increase dividends per share by approximately ¥5.0 each fiscal year, based on and assuming the steady growth of our stable earnings base. We will decide share buybacks, based on our business results, capital adequacy, our stock price and the opportunities for growth investment, using the total payout ratio of 50% or more as a guide.\n\n \n\n137\n\nBased on the above policy, annual cash dividends for the fiscal year ended March 31, 2026 were ¥145 per share of common stock (the interim cash dividend was ¥72.5 per share of common stock and the year-end cash dividend was ¥72.5 per share of common stock, respectively).\n\nWe intend to issue dividends twice per year to shareholders recorded in the shareholder register as of March 31 and September 30 in each year as year-end dividends and as interim dividends, respectively, to return profits to shareholders in a timely way.\n\nIn accordance with our articles of incorporation, we may decide to issue dividends by a resolution of the Board of Directors unless otherwise stipulated by laws or regulations, or by a resolution of a general meeting of shareholders. Annual cash dividends for the fiscal year ended March 31, 2026 were decided by a resolution of our Board of Directors.\n\n8.B.
