(the “Company”) increased the size\nof the Board to five individuals and appointed Stephen Hood, the Company’s Chief Executive Officer and President, to serve on the\nBoard, effective immediately, as a Class II director for a term expiring at the 2028 annual meeting of stockholders and until his successor\nis elected and qualified or until his earlier death, resignation or removal or as otherwise provided in the bylaws of the Company.\n\n \n\nThere\nis no arrangement or understanding between Mr. Hood and any other person pursuant to which Mr. Hood was selected as a director, and there\nare no family relationships between Mr. Hood and any of the Company’s other directors or executive officers.
