(the “Company”) held its annual meeting of shareholders. Of the 59,452,799 shares outstanding\nand entitled to vote at the meeting, 34,079,421 shares were voted, representing approximately 57.3% of the outstanding shares entitled\nto vote and therefore a quorum for all purposes of conducting business at the annual meeting.\n\n \n\nAt the annual meeting,\nthe shareholders: (i) elected the eleven individuals nominated to serve as directors;  (ii) ratified the appointment of\nErnst & Young LLP (“EY”) as the Company’s independent registered public accounting firm for the year ending\nDecember 31, 2026 and (iii) approved the issuance of the Company’s common stock to Robert R.
