The Company’s transfer application is subject to review and approval by the staff of the Nasdaq\nStock Market (“Nasdaq”).\n\n \n\nAs\npreviously disclosed in the Company’s Current Report on Form 8-K filed on January 16, 2026, the Company received a notification\nletter from Nasdaq notifying the Company of its failure to maintain the $1.00 minimum bid price required for continued listing on The\nNasdaq Global Market under Nasdaq Listing Rule 5450(a)(1) (the “Minimum Bid Price Requirement”). If Nasdaq approves the Company’s\ntransfer to The Nasdaq Capital Market, the Company may receive an additional 180-calendar-day period to regain compliance with the Minimum\nBid Price Requirement.\n\n \n\nDuring\nthe additional 180-calendar-day grace period, the Company’s Common Stock must close at $1.00 or more for at least 10 consecutive\nbusiness days to regain compliance with the Minimum Bid Price Requirement, unless Nasdaq exercises its discretion to extend this 10-day\nperiod pursuant to Nasdaq Listing Rule 5810(c)(3)(H).\n\n \n\nThere\ncan be no assurance that the Company’s transfer application will be approved, that the Company will be granted an additional compliance\nperiod, or that the Company will be able to regain compliance with the Minimum Bid Price Requirement during any such additional compliance\nperiod. If the transfer application is approved, the transfer is not expected to impact trading in the Company’s Common Stock,\nwhich will continue to trade on Nasdaq under the symbol “MVIS.”"}
