Holders of 12,866,339 shares, representing 80.61% of our outstanding\nshares of common stock entitled to vote as of the record date for the Annual Meeting, participated in person or by proxy.\n\n \n\nAs explained in our proxy statement relating to\nthe Annual Meeting:\n\n \n\n·      \nIn accordance with the Company’s Bye-Laws, directors are elected by a plurality of the votes cast.
