Unregistered Sales of Equity Securities and Use of Proceeds\n\nOn December 8, 2025, the Company announced that its Board of Directors had authorized a third stock repurchase program to acquire up to an additional 1,400,435, or 10%, of the Company’s currently issued and outstanding common stock commencing on December 10, 2025.
