(the “Company”) issued a news release reporting visual results from its ongoing 30,000\nmetre surface drilling program targeting the emerging Flexure Zone at the Selebi Main deposit in Botswana. A copy of this press release\nis attached as Exhibit 99.1 hereto and is incorporated herein by reference. The Company undertakes no obligation to update, supplement\nor amend the materials attached hereto as Exhibit 99.1.\n\n** **\n\n**Cautionary\nStatements to Investors on Reserves and Resources**\n\n \n\nThe\nnews release furnished herewith uses the terms “mineral resources”, “indicated mineral resources” and “inferred\nmineral resources” as such terms are defined under Canadian National Instrument 43-101 - Standards of Disclosure for Mineral Projects\n(“NI 43-101”). NI 43-101 is a rule developed by the Canadian Securities Administrators, which establishes standards for all\npublic disclosure a Canadian issuer makes of scientific and technical information concerning mineral projects.\n\n \n\nOn\nOctober 31, 2018, the SEC adopted new mining disclosure rules (“S-K 1300”) that are more closely aligned with current industry\nand global regulatory practices and standards, including NI 43-101, with which we comply because we are also a “reporting issuer”\nunder Canadian securities laws. While S-K 1300 is more closely aligned with NI 43-101 than the prior mining disclosure rules of the Securities\nand Exchange Commission, there are some differences. Accordingly, there is no assurance any mineral resources that the Company may report\nas “indicated mineral resources” and “inferred mineral resources” under NI 43-101 will be the same as the reserve\nor resource estimates prepared under S-K 1300. Investors should not assume that any part or all of indicated mineral resources or inferred\nmineral resources will ever be converted into a higher category of mineral resources or into mineral reserves. Mineralization described\nusing these terms has a greater amount of uncertainty as to their existence and feasibility than mineralization that has been characterized\nas reserves. Accordingly, investors are cautioned not to assume that any “indicated mineral resources”, or “inferred\nmineral resources” on the Company’s projects are or will be economically or legally mineable. Further, “inferred resources”\nhave a greater amount of uncertainty as to their existence and as to whether they can be mined legally or economically. Therefore, investors\nare also cautioned not to assume that all or any part of the inferred resources exist. In accordance with Canadian rules, estimates of\n“inferred mineral resources” cannot form the basis of feasibility or other economic studies, except in limited circumstances\nwhere permitted under NI 43-101.\n\n \n\nThe\ninformation in this Current Report on Form 8-K (including Exhibit 99.1 attached hereto) is being furnished and shall not be deemed to\nbe filed for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise\nbe subject to the liabilities of that section, nor shall it be deemed to be incorporated by reference in any filing under the Securities\nAct of 1933, as amended, or the Exchange Act, whether made before or after the date hereof and regardless of any general incorporation\nlanguage in such filing."}
