Legal Proceedings.**\n\n \n\nFrom\ntime to time, we may become involved in various lawsuits and legal proceedings which arise in the ordinary course of business. We are\nnot presently a party to any legal proceedings that, if determined adversely to us, would individually or taken together have a material\nadverse effect on our business, operating results, financial condition or cash flows, except for the following:\n\n \n\nOn\nAugust 9, 2024, a putative securities class action lawsuit was filed against us and certain of our officers in the United States District\nCourt for the Southern District of New York, captioned *Yvette Yang v. Nano Nuclear Energy Inc., et al.*, No. 1:24-cv-06057 (S.D.N.Y.).\nAs previously reported, on January 8, 2026, the court issued an order granting defendants’ motion to dismiss, and on February 12,\n2026, the court entered judgment in favor of defendants. Plaintiff has filed a notice of appeal to the United States Court of Appeals\nfor the Second Circuit, and plaintiff’s opening brief on appeal is due on May 28, 2026. We dispute the allegations in the amended\ncomplaint and will continue to defend the case vigorously.\n\n \n\nIn\naddition, on August 23, 2024, a putative shareholder derivative lawsuit was filed purportedly on behalf of our company, as nominal defendant,\nagainst certain of our directors and officers in the Eighth Judicial District Court of Clark County, Nevada, captioned William Latza,\nDerivatively on Behalf of Nano Nuclear, Inc. v. James Walker, et al., No. A-24-900423-C. As previously reported, on October 30, 2025, the court entered a formal order and statement of decision granting\nseparate motions to dismiss filed by us and our directors and officers. On February 10, 2026, plaintiff and defendants filed a stipulation\nto dismiss the case with prejudice, with each side bearing its own costs and fees, and the court entered an order dismissing the case\nwith prejudice.\n\n \n\nIn\naddition, from time to time, we may be subject to various additional claims, lawsuits, and other legal and administrative proceedings\nthat may arise in the ordinary course of business. Some of these claims, lawsuits, and other proceedings may range in complexity and\nresult in substantial uncertainty; it is possible that they may result in damages, fines, penalties, non-monetary sanctions, or relief.\n\n \n\nAs\nwe continue to grow and develop our products, we anticipate that we will expend significant financial and managerial resources in the\ndefense of our products in the future. We also anticipate that we will expend significant financial and managerial resources to defend\nagainst claims that our products and services infringe upon the intellectual property rights of third parties."}
