Entry into a Material\nDefinitive Agreement.** \n\n \n\nThe Company on June 1, 2026 entered into an amended three-year $5,000,000\ncredit line facility (replacing the $5,000,000 facility (that we had entered into on March 19, 2023, and scheduled to expire July 13,\n2026), drawdowns under which bear interest at the rate of 7% per annum. The credit line does not permit conversion by the lender of amounts\noutstanding under the line into common stock.
