(the “Company”) borrowed on a short- term basis the amount of $200,000 (the “May 29 Loan”)\nfrom The Donald P. Monaco Insurance Trust (the “Trust”). Donald P. Monaco, a director of the Company, is the trustee of the\nTrust. The May 29 Loan was one of a series of short-term unsecured loans made by the Trust (the “Monaco Loans”) commencing\nMarch 25,2026 which, as of the date of this Current Report, have a principal balance of $500,000. Interest accrues on the Monaco Loans\nat a rate of 7.5% simple interest per annum. The maturity date of the Monaco Loans is June 30, 2026. The Monaco Loans have been approved\nby the both the Company’s Board of Directors and its Audit Committee."}
