The Listing Rule requires listed companies to timely file all required\nperiodic financial reports with the Securities and Exchange Commission (the “SEC”).\n\n \n\nThis\nNotice has no immediate effect on the listing of the Company’s securities on Nasdaq. However, if the Company fails to timely regain\ncompliance with the Listing Rule, the Company’s securities will be subject to delisting from Nasdaq.\n\n \n\nThe\nNotice provides that the Company has 60 calendar days, or July 27, 2026, to submit to Nasdaq a plan to regain compliance with the Nasdaq\nListing Rule. If Nasdaq accepts the Company’s plan, then Nasdaq may grant the Company up to 180 calendar days from the Form 10-K’s\ndue date, or until October 12, 2026, to regain compliance. If Nasdaq does not accept the Company’s plan, then the Company will\nhave the opportunity to appeal that decision to a Nasdaq Hearings Panel.\n\n \n\nThe\nCompany is working diligently to complete its Delinquent Filings and expects to file its Delinquent Filings within the 60-day period\ndescribed above, and thereby regain compliance with the Listing Rule. As required under Nasdaq Listing Rule 5810(b), the Company issued\na press release on June 1, 2026, announcing that it had received the Notice. A copy of this press release is attached as Exhibit\n99.1 to this Form 8-K."}
