(the “Company”). Following the resignation of Mr. Ramachandran,\nwho was designated as the Company's principal accounting officer prior to his resignation, on June 3, 2026, Rita Johnson-Greene,\nMBA, the Company’s Chief Financial Officer, was appointed as the Company’s principal accounting officer.\n\n \n\nDescriptions of the material terms of\nMs. Johnson-Greene’s employment agreement and Ms. Johnson-Greene’s biographical information were previously included\nin the Company’s Current Report on [Form 8-K](https://www.sec.gov/ix?doc=/Archives/edgar/data/0001372299/000110465926011765/tm265594d1_8k.htm) filed on February 9, 2026, which descriptions are incorporated herein\nby reference. There are no arrangements or understandings between Ms. Johnson-Greene and any other persons pursuant to which Ms. Johnson-Greene\nwas appointed as principal accounting officer of the Company.
