OTHER INFORMATION**\n\n** **\n\nOn\nMay 13, 2026, the Board of Directors approved the appointment of Mr. Ronen Tanami as the Company’s Chief Operating Officer. Mr.\nTanami, who has served as the Company’s interim VP R&D since January 1, 2026, will transition to his new position effective\nimmediately. In connection with his appointment, the Company entered into an employment agreement with Mr. Tanami on December 31, 2025\nthat provides for an initial gross monthly salary of NIS 62,500. Following the completion of one year of service, Mr. Tanami’s\nmonthly salary will increase to NIS 65,000. The employment agreement also provides that Mr. Tanami may be eligible to receive an annual\nspecial performance bonus of up to three monthly salaries, subject to Company performance and the achievement of annual objectives, in\neach case subject to the discretion of the CEO and approval by the Board of Directors. Under the employment agreement, the Company will\nrecommend that the Board of Directors grant Mr. Tanami options to purchase 60,000 shares of common stock. In connection with his appointment\nas Chief Operating Officer, Mr. Tanami will also be entitled to a one-time grant of options to purchase an additional 40,000 shares of\ncommon stock. The grant of all such options, as well as the terms and conditions thereof, shall be subject to the discretion of the Board\nof Directors. Mr. Tanami will also receive additional benefits customary for an executive officer of his experience and standing, including\npension arrangements, study fund contributions and convalescence pay.\n\n \n\nIn\nFebruary 2026, the Board of Directors approved the grant of 70,000 options to Mr. Tanami.\n\n \n\nDuring\nthe quarter ended March 31, 2026, no director or officer of the Company adopted\nor terminated\na “Rule 10b5-1 trading arrangement”\nor a “non-Rule 10b5-1 trading arrangement” (in each case, as defined in Item 408 of Regulation S-K)."}
