CHANGES IN REGISTRANT’S CERTIFYING ACCOUNTANT**\n\n* *\n\nThe\nAudit Committee of the Board of Directors of Omega Flex, Inc. (the “Company”) conducted a comprehensive process to determine\nthe Company’s independent registered public accounting firm for the fiscal year ending December 31, 2026, and issued a Request\nfor Proposal (“RFP”) to several qualified accounting firms, including RSM US LLP (“RSM”), the Company’s\nthen current independent registered public accounting firm. As a result of this process, following the review and evaluation of proposals\nfrom participating firms, on May 22, 2026, the Audit Committee approved the appointment of PKF O’Connor Davies LLP (“PKF”)\nas the Company’s new independent registered public accounting firm for the fiscal year ending December 31, 2026, and the dismissal\nof RSM, subject to the completion of certain procedures and the execution of an engagement letter with PKF.\n\n \n\nOn\nJune 10, 2026 (the “Effective Date”), following completion of such procedures, the Company executed an engagement letter\nwith PKF. Accordingly, PKF was appointed as the Company’s independent registered public accounting firm on the Effective Date.\nPKF’s appointment will be for the Company’s fiscal year ending December 31, 2026, and related interim quarterly periods ending\nJune 30, 2026 and September 30, 2026. Also on June 11, 2026, the Company notified RSM that it was dismissed.\n\n \n\nThe\nreports of RSM on the Company’s consolidated financial statements for the fiscal years ended December 31, 2025 and 2024, did not\ncontain an adverse opinion or disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope, or accounting\nprinciples. During the Company’s two most recent fiscal years ended December 31, 2025 and 2024, and the subsequent interim quarterly\nperiod ending March 31, 2026 and through the Effective Date (i) there were no disagreements between the Company and RSM on any matter\nof accounting principles or practices, financial statement disclosure, or auditing scope or procedures which, if not resolved to the\nsatisfaction of RSM, would have caused RSM to reference the subject matter in their audit report, and (ii) there were no reportable events\nwithin the meaning of Item 304(a)(1)(v) of Regulation S-K.\n\n \n\nThe\nCompany has provided RSM with a copy of the disclosures contained in this Item 4.01 and has requested that RSM furnish a letter addressed\nto the Securities and Exchange Commission stating whether it agrees with the statements made herein. A copy of RSM’s letter, dated\nJune 12, 2026, is filed as Exhibit 16.1 to this Current Report on Form 8-K.\n\n \n\nDuring\nthe fiscal years ended December 31, 2025 and 2024, and in the subsequent interim quarterly periods ending March 31, 2026, neither the\nCompany nor anyone on its behalf consulted PKF on (i) the application of accounting principles to a specified transaction, either completed\nor proposed, or on the type of audit opinion that might be rendered on the consolidated financial statements of the Company, and neither\na written report nor oral advice was provided to the Company that PKF concluded was an important factor considered by the Company in\nreaching a decision as to the accounting, auditing, or financial reporting issue; or (ii) any matter that was either the subject of a\ndisagreement as defined in Item 304(a)(1)(iv) of Regulation S-K or a reportable event as described in Item 304(a)(1)(v) of Regulation\nS-K."}
