Amendments to Articles of Incorporation or Bylaws; Change\nin Fiscal Year.**\n\n** **\n\nEffective June 11, 2026, OSR Health, Inc. (formerly OSR Holdings, Inc.)\n(the “Company”) changed its corporate name from “OSR Holdings, Inc.” to “OSR Health, Inc.” The name\nchange was effected through the filing of a Certificate of Revival of Charter (the “Certificate of Revival”) with the Secretary\nof State of the State of Delaware pursuant to Section 312 of the General Corporation Law of the State of Delaware (the “DGCL”),\nwhich became effective upon filing on June 11, 2026. In addition to changing the Company’s name, the filing of the Certificate of\nRevival renewed and revived the Company’s certificate of incorporation, and the Company is in good standing with the Secretary of\nState of the State of Delaware.\n\n \n\nThe name change was approved by the Company’s Board of Directors.\nUnder Sections 312 and 242(b)(1) of the DGCL, the change of the Company’s corporate name did not require the approval of the Company’s\nstockholders. Other than the change of the Company's name, the Certificate of Revival did not amend any other provision of the Company's\ncertificate of incorporation or alter the terms of the Company's common stock or warrants.\n\n \n\nIn connection with the name change, effective June 11, 2026, the Company’s\ncommon stock and warrants continue to trade on The Nasdaq Stock Market LLC under the symbols “OSRH” and “OSRHW,”\nrespectively.
