Defaults upon Senior Securities**\n\n \n\nAs\nof March 31, 2026, the Company was in default under the Forever Prosperity Notes (formerly GMP Notes) for failure to pay the outstanding\nprincipal and interest under the Forever Prosperity Notes at their maturity date. The total principal outstanding on all the Forever\nProsperity Notes, inclusive of accrued interest, was approximately $4.95 million as of March 31, 2026. Forever Prosperity, the current\nholder of the notes, is an affiliate of Dragon, the other party in the Company’s JV, and has not called for the repayment of the\ndebt.
