(the “Company”)\nheld on June 18, 2026 (the “2026 Annual Meeting”), the Company’s stockholders approved an amendment to the Precigen,\nInc. 2023 Omnibus Incentive Plan, as amended (the “2023 Plan”), to increase the number of shares of common stock available\nfor issuance thereunder by 7 million (the “2023 Plan Amendment No. 3”). The approval of the 2023 Plan Amendment No. 3 had\nbeen previously approved by the Company’s Board of Directors (the “Board”), subject to stockholder approval.\n\n \n\nThe 2023 Plan Amendment No. 3 amends the 2023 Plan, which was previously\napproved by the Company’s stockholders on June 8, 2023, and subsequently amended by the Company’s stockholders on July 5,\n2024 and June 26, 2025.
