LEGAL PROCEEDINGS**\n\n \n\nOn July 27, 2023, Daqi\nCui, a former employee, filed a complaint against the Company in Queens County, the Supreme Court of the State of New York,\nasserting claims of breach of employment contract, seeking $609,145.05 in damages as well as attorneys’ fees and costs. On\nNovember 6, 2023, the Company filed a motion to move the case to the United States District Courthouse, Eastern District of New York\nfor an Order to dismiss with prejudice. On July 29, 2024, the complaint was dismissed by the Eastern District of New York. However,\nPlaintiff was granted leave to file an amended complaint within 30 days after entry of the order. Subsequently, the Plaintiff filed\nan amended complaint against the Company and the Company has moved to dismiss the amended complaint. On July 21, 2025, the motion to\ndismiss was denied by the Court.\n\n \n\nOn July 31, 2025, the Company filed an Answer\nto the amended complaint and asserted a counterclaim against the Plaintiff. The case subsequently proceeded to the discovery phase. In\nMarch and April 2026, the Plaintiff filed a motion to compel and a motion for sanctions. Concurrently, in April 2026, the Plaintiff’s\ncounsel filed a motion to withdraw as attorney, which resulted in the Court terminating certain deadlines and hearings pending resolution\nof the withdrawal motion. The Company intends to continue to vigorously defend against the Plaintiff’s claims and pursue its counterclaim."}
