Mr. Seemab succeeds Muhammad Umair, who effective as\nof the Effective Date has resigned as President and Chief Executive Officer of the Company, but not as an employee. There are currently\nongoing negotiations regarding Mr. Umair taking on a new role with the Company and potential adjustments to his compensation in connection\nwith such change in role, and Mr. Umair will remain as a member of the Board.\n\n \n\nMr. Seemab, age 43, is\nManaging Director of Mithaq Holding Company. From January 2012 until joining Mithaq Holding Company in January 2019 as Portfolio\nManager, Mr. Seemab was an Associate in the Asset Management Group of Mohammed Ibrahim AlSubeaei & Sons Investment Company\n(MASIC), a family office based in Saudi Arabia that manages public equities, private equity funds, real estate funds and income-producing\nassets. Before moving to MASIC, he worked for Allied Bank Limited and Punjab Pension Fund in Pakistan. He previously spent four years\nin the assurance group at Ernst & Young. Mr. Seemab received his Bachelor of Commerce degree from Hailey College of Commerce\nat the University of Punjab in Lahore, Pakistan and is a Chartered Accountant and an associate member of The Institute of Chartered Accountants\nof Pakistan. He serves on the board of directors as well as a member of the Audit, Finance and Risk Committee, Governance & Nominating\nCommittee and Human Resources & Compensation Committee of Aimia Inc. (TSX: AIM). He also serves on the boards of several Mithaq\ngroup entities.\n\n \n\n3\n\n \n\n \n\nIn light of Mr. Seemab’s\nposition as a Managing Director of Mithaq Holding Company, which is the parent company of Mithaq, the Company’s controlling shareholder,\nMr. Seemab’s appointment was reviewed and approved as a related person transaction in accordance with the Company’s policies.\nThere are no family relationships between Mr. Seemab and any director or executive officer of the Company.\n\n \n\nIn connection with Mr. Seemab’s\nnew appointment, his cash compensation arrangement under his offer letter (the “Seemab Offer Letter”) will remain the same\nas for his prior position as Executive Vice Chairman of the Company — *i.e.*, Mr. Seemab’s annual cash compensation\nwill remain unchanged at $497,500. Mr. Seemab will continue to participate in the Company’s health and benefits plan. Mr. Seemab\nwill not be eligible for annual and long-term incentive compensation at this time.\n\n \n\nMr. Umair’s resignation\nwas not because of a disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.\n\n \n\nThe foregoing description\nof the Seemab Offer Letter is qualified in its entirety by reference to the full text thereof, a copy of which is filed as Exhibit 10.1\nto this Current Report on Form 8-K and which is incorporated herein by reference.\n\n \n\n*Revised Composition of Certain Committees of the Board*\n\n \n\nIn connection with his appointment\nas President and Interim Chief Executive Officer, Mr. Seemab has resigned from his positions as the Chair of the Human Capital &\nCompensation Committee and as a member of the Corporate Responsibility, Sustainability & Governance Committee of the Board.
