(the “Company”) appointed Douglas Beck as the Company’s\nChief Financial Officer and Treasurer, effective July 15, 2026. Effective as of that date, Mr. Beck serves as the Company’s principal\nfinancial officer and principal accounting officer.\n\n \n\nPrior\nto his appointment as the Company’s Chief Financial Officer and Treasurer, Mr. Beck, age 65, served as the Chief Financial Officer\nof AiAdvertising, Inc. from November 2024 to April 2025 and the Chief Financial Officer of ShiftPixy, Inc. from January 2023 to March\n2024. Mr. Beck also served as a consultant to Beyond Air Inc. from September 2021 to December 2022 and as its Chief Financial Officer\nfrom November 2018 to August 2021. He received a Bachelor of Science in Accounting from Fairleigh Dickinson University and is also a\nlicensed Certified Public Accountant.\n\n \n\nThere\nare no arrangements or understandings between Mr. Beck and any other person pursuant to which he was appointed as an officer of the Company.\nThere are no family relationships between Mr. Beck and any director or executive officer of the Company that are required to be disclosed\nunder Item 401(d) of Regulation S-K.\n\n \n\nThere\nare no transactions, or proposed transactions, to which the Company is or is to be a party in which Mr. Beck has a direct or indirect\nmaterial interest that would be required to be disclosed under Item 404(a) of Regulation S-K."}
