The Company and Outdoors Online have denied,\nand continue to deny, all allegations of liability or wrongdoing asserted in the DCP Litigation.\n\n \n\n**Settlement\nAgreement**\n\n \n\nUnder\nthe terms of the Settlement Agreement, the Company agreed to pay DCP an aggregate amount of $4.4 million (the “Settlement Amount”)\non or before February 27, 2026, in full and final settlement of all claims asserted or that could have been asserted relating to the\nsubject matter of the DCP Litigation. Upon payment of the Settlement Amount, the parties have agreed to file a joint stipulation dismissing\nthe DCP Litigation with prejudice. The Settlement Agreement provides for customary mutual releases pursuant to which each party releases\nthe other party from claims relating to the matters at issue in the DCP Litigation. Such mutual releases cover the named parties and\ntheir affiliates, but such releases do not extend to unaffiliated third parties or contractors of the named parties and their affiliates.\nThe Settlement Agreement also contains customary representations, warranties, and covenants typical of agreements of this nature, including\nconfidentiality provisions, subject to the Company’s obligations under applicable securities laws.\n\n \n\nThe\nSettlement Agreement expressly provides that such agreement represents a compromise of disputed claims and does not constitute an admission\nof liability by the Company or Outdoors Online, all of which are expressly denied."}
