In connection with the appointments, the Board increased the size of the Board from 8 to 10.\n\nMr. Amin will serve on the Audit Committee and the Nominating and Governance Committee of the Board. Mr. Gajial will serve on the Talent and Compensation Committee.\n\nMr. Amin\n\nSalman Amin, age 66, is an experienced executive with over 30 years in the global consumer products industry. He most recently served as Chief Executive Officer of pladis Global, where he led a multi-year transformation that delivered sustained revenue growth and improved profitability. Mr. Amin previously served as Chief Operating Officer of the Global Commercial Division at SC Johnson and held senior leadership roles at PepsiCo and Procter & Gamble.\n\nThe Company believes that Mr. Amin’s global leadership experience and consumer products expertise qualify him to serve on the Board.\n\nMr. Gajial\n\nOmer Gajial, age 52, is a seasoned executive with extensive experience in retail, e-commerce and consumer health. He currently serves as Chief Executive Officer of GoTo Foods, a franchisor and operator of over 7,000 restaurant and retail locations globally across multiple brands. Prior to this role, Mr. Gajial served as Executive Vice President and Chief Merchandising & Digital Officer at Albertsons Companies.\n\nThe Company believes that Mr. Gajial’s leadership experience and expertise in retail and digital transformation qualify him to serve on the Board.\n\nNo Arrangements, Understandings, or Related Party Transactions\n\nThere are no arrangements or understandings between either Mr. Amin or Mr. Gajial and any other person pursuant to which either appointee was selected as a director of the Company. There are no transactions in which either Mr. Amin or Mr. Gajial has an interest requiring disclosure under Item 404(a) of Regulation S-K.\n\nCompensation\n\nEach new director will be entitled to receive compensation provided to non-employee directors as approved by the Board and described in the Company’s proxy statement filed on March 20, 2026."}
