Legal Proceedings.\n\n \n\nFrom\ntime to time, we may become involved in various lawsuits and legal proceedings which arise in the ordinary course of business. Litigation\nis subject to inherent uncertainties, and an adverse result in these or other matters may arise from time to time that may harm our business.\nWe are not currently aware of any such legal proceedings or claims that we believe will have a material adverse effect on our business,\nfinancial condition, or operating results.\n\n \n\n**Settlement\nand Release Agreement with Lucosky Brookman**\n\n \n\nIn\nSeptember 2025, the Company entered into a Settlement and Release Agreement (the “Lucosky Settlement Agreement”) with Lucosky\nBrookman LLP (“Lucosky Brookman”), the Company’s former legal counsel, to resolve an outstanding obligation of approximately\n$568,706. Under the terms of the Lucosky Settlement Agreement, the Company agreed to pay a total settlement amount of $250,000 in five\nequal monthly installments of $50,000, due monthly from September 2025 through January 2026. Upon receipt of the full settlement amount,\nthe parties agreed to exchange mutual general releases of all claims. If the Company failed to pay the full settlement amount by January\n31, 2026, Lucosky Brookman retains the right to seek collection of the full outstanding balance, less amounts previously paid. As of\nMarch 31, 2026, the Company had not paid the full settlement amount and owed $125,000 to Lucosky Brookman."}
