Although\nthe results of litigation and claims cannot be predicted with certainty, as of the date of this annual report, we do not believe we are\nparty to any claim or litigation, the outcome of which, if determined adversely to us, would individually or in the aggregate be reasonably\nexpected to have a material adverse effect on our business. Regardless of the outcome, litigation can have an adverse impact on us because\nof defense and settlement costs, diversion of management resources and other factors.\n\n \n\n**Dividends**\n\n \n\nWe\nhave never declared or paid any cash dividends on our equity interests, and we do not anticipate paying any cash dividends in the foreseeable\nfuture. The payment of dividends, if any, in the future is within the discretion of our Board and will depend on our earnings, capital\nrequirements and financial condition and other relevant facts.
