Our phone number is (800) 956-3935. This location serves as our administrative headquarters\nin the United States.\n\n \n\nOur primary operational facilities are located\nin Cancún, Quintana Roo, Mexico, where we conduct patient treatments, physician training, and manufacturing of regenerative medicine\nproducts through our subsidiary, Global Stem Cells Group, Inc. (GSCG), and its division Cellgenic.\n\n \n\nThe Cancún operations are situated in the\nTulum Trade Center, a modern commercial complex located at Boulevard Luis Donaldo Colosio, Manzana 1, Lote 3, Supermanzana 9, Cancún,\nQuintana Roo, Mexico. This facility serves as both our clinical center for regenerative therapies and our advanced manufacturing site\nfor mesenchymal stem cells (MSCs), exosomes, peptide-based products, and related biologics.\n\n \n\n18\n\n \n\n**Lease History and Current Arrangements:**\n\n \n\n◾**Initial Lease**: Global Stem Cell\nGroup, Inc. entered into a lease agreement with HELLIMEX, S.A. DE CV beginning January 16, 2022, and originally ending on January 15,\n2024. The leased space consisted of approximately 1,647 square feet, with a monthly rent of $2,714 and a security deposit of $5,588. In\nJanuary 2022, we initiated the buildout of the clinic and procurement of equipment. The Cancún facility is accredited by both the\nMexican General Health Council and COFEPRIS (Mexico’s federal health regulatory authority equivalent to the FDA), enabling compliant\noperations for stem cell therapies and manufacturing.\n\n \n\n◾**Expansion Lease**: Due to business\ngrowth and the need for additional space, we entered into a new lease with RIVIERA MAYA, S.A. DE C.V. beginning January 16, 2024, and\noriginally ending on January 15, 2026. This added approximately 1,216 square feet to support expanded clinical and manufacturing activities.\n\n \n\n◾**Lease Extension**: On December 31,\n2025, the Company signed a five-year extension to the combined lease arrangements, effective from December 31, 2025, through December\n31, 2029. The monthly rent and security deposit terms remained unchanged at $2,714 per month and $5,588, respectively. This extension\nprovides long-term stability for our core operations.\n\n \n\n**Additional Leases in 2025:**\n\n \n\n◾On July 31, 2025, the Company signed a three-year\nlease for additional space consisting of 1,290 square feet located at Av. Bonampak #SM4A M1 Lote 4C, Int. Local 401, Col. SM 4A, Localidad\nBenito Juárez, Cancún, Quintana Roo C.P. 77500, MX. The lease commences on July 31, 2025, and ends on June 30, 2028, with\na monthly rent of $10,000 for the first year and a 3.56% annual increase beginning in the second year. A security deposit of $20,000 was\npaid.\n\n \n\n◾On October 30, 2025, the Company signed a five-year\nlease for additional office space consisting of 1,205 square feet at the Tulum Trade Center. The lease commences on November 1, 2025,\nand ends on October 31, 2030, with a monthly rent of $3,500 for the first year and a 4% annual increase beginning in the second year.\nA security deposit of $5,300 was paid.\n\n \n\nThe Cancún facility is fully licensed by\nCOFEPRIS to function as a Stem Cell Collection Center, Stem Cell Bank, and advanced manufacturing center. It supports our vertical integration\nstrategy, enabling in-house production of high-quality regenerative products for our global clinic network and distribution. The facility’s\nstrategic location in Cancún facilitates access to international patients and aligns with our focus on medical tourism and regenerative\ntreatments in Mexico.\n\n \n\nWe do not own any real property and lease all\nour facilities on market terms. We believe our current leased properties are adequate for our present and near-term needs, with flexibility\nto expand as our operations grow in key international markets. We continue to evaluate additional locations for future clinic expansions\nand potential manufacturing sites, subject to regulatory and market conditions."}
