Departure of Directors or Certain Officers; Election of Directors;\nAppointment of Certain Officers; Compensatory Arrangements of Certain Officers.**\n\n** **\n\n**Appointment\nof Independent Director**\n\n \n\nOn July 13, 2026, the Board of Directors (the “Board”)\nof Socket Mobile, Inc. (the “Company”) appointed Brent MacDonald to serve as a member of the Board, effective immediately. \n\nMr.\nMacDonald previously served as a member of the Company's Board of Directors from 2016 to 2023. The Board has determined that Mr. MacDonald\nsatisfies the independence requirements of the Nasdaq Stock Market listing standards.\n\n \n\nMr.\nMacDonald will receive the Company's standard non-employee director compensation, which is described under the caption \"Director\nCompensation\" in the Company's definitive proxy statement for its 2026 Annual Meeting of Stockholders, filed with the Securities\nand Exchange Commission on April 30, 2026, which description is incorporated herein by reference.\n\n \n\nMr.\nMacDonald will enter into the Company’s standard form of indemnification agreement, a copy of which was previously filed on January\n27, 2009 as Exhibit 10.1 to the Company’s Current Report on Form 8-K (File No. 000-25904), and is incorporated herein\nby reference.\n\n \n\nThe\nBoard has not yet determined the committees of the Board on which Mr. MacDonald will serve.\n\n \n\nThere are no arrangements or understandings between\nMr. MacDonald and any other person pursuant to which he was appointed as a director. There are no family relationships between Mr. MacDonald\nand any director or executive officer of the Company. There are no transactions involving Mr. MacDonald requiring disclosure under Item\n404(a) of Regulation S-K.\n\n \n\nOn July 15, 2026, the Company issued a press release\nannouncing Mr. MacDonald's appointment to the Board of Directors.
