The Board previously approved the\nIncentive Plan Amendment, subject to stockholder approval at the 2026 Annual Meeting. The Incentive Plan Amendment became effective at\nthe time of stockholder approval.\n\n \n\nThe Incentive Plan Amendment\nand the principal terms of the Omnibus Incentive Plan were previously described in the section titled “Proposal 4: Extension of\nthe Term of the Omnibus Incentive Plan” of the Company’s definitive proxy statement on Schedule 14A, which was filed with\nthe Securities and Exchange Commission (“SEC”) on April 27, 2026 (the “2026 Proxy Statement”).
