(the “Company”) held\nits Annual Meeting of Stockholders (the “Annual Meeting”) on June 2, 2026.\n\n \n\n(b)  The Annual Meeting was held for the purpose of: (i)\nelecting eight directors to serve on the Company’s Board of Directors until the Company’s 2027 annual meeting of stockholders\nand until their successors are duly elected and qualify; (ii) approving, on an advisory basis, the Company’s executive compensation;\nand (iii) ratifying the appointment of Deloitte & Touche LLP as the Company’s independent registered public accounting firm\nfor the fiscal year ending December 31, 2026. Further information regarding the foregoing proposals is contained in the Company’s\nDefinitive Proxy Statement on Schedule 14A, filed with the Securities and Exchange Commission on April 22, 2026.
