(the “Company”) approved a one-time limited\nwaiver to the Company’s Chairman, CJ Xuning Wang, under the Company’s Insider Trading Policy and Code of Business Conduct\nand Ethics (the “Policies”) that restrict the Company’s directors, executive officers, and other persons covered by\nthe Policies from transacting in the Company’s securities during defined quarterly blackout periods. In connection with this waiver,\non July 10, 2026, Mr. Wang sold a portion of his holdings to an existing institutional investor in a transaction exempt from registration\nrequirements.
