Other Events.**\n\n \n\nThe\nReverse Stock Split is intended to support the Company’s effort to regain compliance with the minimum bid price requirement for\nmaintaining the listing of its Class A Common Stock on the Nasdaq Capital Market, and to make the bid price more attractive to a\nbroader group of institutional and retail investors. The Nasdaq Capital Market requires, among other things, that a listed company’s\ncommon stock maintain a minimum bid price of at least $1.00 per share (the “Minimum Bid Price Requirement”). However, there\ncan be no assurance that the Reverse Stock Split will have the desired effect of sufficiently raising the bid price of the Class A\nCommon Stock for the required period or that Nasdaq will not delist our Class A Common Stock due to our failure to achieve compliance\nwith the Minimum Bid Price Requirement by June 29, 2026.\n\n \n\nIn\naddition, on July 1, 2026, the Company issued a press release relating to the Reverse Stock Split described in this Current Report\non Form 8-K.
