(the “Company”), and Wheels Up Experience Inc. (“Wheels Up”) entered into a Master Subscription Agreement (the “MSA”) related to the Company’s Enterprise BrokerOS software. The MSA provides for an initial subscription term of two years, for which Wheels Up will pay the Company a subscription fee of $8.0 million, and an optional one-year extension, for which Wheels Up will pay the Company an additional fee of $4.2 million, all payable quarterly. The MSA also provides for customary software service-level guarantees and termination rights."}
