(the “Company”) completed its acquisition (the “Acquisition”)\nof shares and other securities collectively representing 100% of the share capital and voting power of Robocath, a French société\npar actions simplifiée, pursuant to that certain Share Sale Agreement, dated as of April 14, 2026, by and among the Company, Robocath,\nthe shareholders of Robocath and an individual serving as manager.\n\n \n\nThe\nCompany hereby incorporates by reference herein (i) certain risk factors relating to the Acquisition included in the Company’s\nRegistration Statement on Form S-3, filed with the U.S. Securities and Exchange Commission (the “SEC”) on July 15, 2026,\nwhich are included as Exhibit 99.1 hereto (the “Supplemental Risk Factors”) and (ii) the agreements filed as exhibits thereto:\nthe Share Sale Agreement, the Joinder Agreement thereto, the Form of Purchaser Warrant and the Resale Organization Agreement, filed as\nExhibits 2.1, 2.2, 4.1 and 10.1 hereto, respectively.
