(the “Company”) appointed Eric Francois to serve as a member of the\nBoard, effective immediately.\n\n \n\nMr. Francois is a strategic financial executive\nwith over 20 years of leadership experience in the healthcare and life sciences sectors. He currently serves as an Independent Director\nof CERo Therapeutics Holdings, Inc. (Nasdaq: CERO) and as an independent strategic advisor to emerging life sciences companies. Mr. Francois\npreviously served as Managing Director in Healthcare Investment Banking at Raymond James and Credit Suisse, where he led numerous equity,\ndebt, and M&A transactions for small- and mid-cap biotechnology companies. Prior to his investment banking roles, he was Chief Financial\nOfficer of SCYNEXIS, Inc. (Nasdaq: SCYX), where he oversaw finance, corporate development, investor relations, and operations, and raised\nover $300 million in capital to support the company’s growth through FDA approval and commercial launch. He has also served as an\nindependent director of Diffusion Pharmaceuticals Inc. (Nasdaq: DFFN), including roles on its Audit and Compensation Committees. Mr. Francois\nbegan his career in equity capital markets at Cowen & Company and Lazard Frères and holds M.A. and B.A. degrees in business\nand economics from the Sorbonne University in Paris.\n\n \n\nThere are no arrangements or understandings\nbetween Mr. Francois and any other persons pursuant to which he was appointed as a director.
