{"url_path":"/sec/tact/8-k/2026-01-05/item-1-02","section_key":"item-1-02","section_title":"Item 1.02 ****Termination of a Material Definitive Agreement.**","topic":"sec","document":{"doc_type":"8-K","doc_date":"2026-01-05","source_url":"https://www.sec.gov/Archives/edgar/data/1017303/0001214659-26-000105-index.html","accession_number":"0001214659-26-000105","cik":"0001017303","ticker":"TACT","issuer_name":"TRANSACT TECHNOLOGIES INC","edgar_url":"https://www.sec.gov/Archives/edgar/data/1017303/0001214659-26-000105-index.html","primary_entity_key":"0001017303","primary_entity_name":"TRANSACT TECHNOLOGIES INC"},"word_count":263,"has_tables":true,"body_markdown":"**Item 1.02****Termination of a Material Definitive Agreement.**\n\n \n\nOn December 30, 2025, TransAct Technologies Incorporated\n(the “Company”) agreed with Avery Dennison Corporation (“AD”) and StreemSoft LLC (formerly, ZippyYum LLC) (“StreemSoft”)\nto terminate (i) that certain Master License Agreement, dated February 22, 2019, as amended (the “MLA”), (ii) that certain\nMaster Development and License Agreement, dated July 20, 2018 (the “MDLA”), entered into by and between the Company and StreemSoft,\n(iii) the related Subcontract Agreement, dated March 18, 2021, between StreemSoft and AD, and (iv) the Agreement to Accommodate Sale by\nZippyYum to AD, dated March 16, 2021 (collectively, the “License Agreements”).\n\n \n\nThe termination of the License Agreements is in\naccordance with and as contemplated by the Company’s previously announced Source Code Purchase and Perpetual License Agreement and\nrelated Transition Statement of Work, each dated August 5, 2025 (collectively, the “Source Code Transition Agreement”), pursuant\nto which the Company acquired a royalty free license to a copy of the BOHA! source code, and will be effective as of the date of “Completion”\nor “Project Completion” (each as defined in the Source Code Transition Agreement), subject to the survival of the parties’\nconfidentiality obligations under the License Agreements. The Company did not incur any early termination penalties in connection with\nthe termination of the License Agreements.\n\n \n\nThe MLA and the MDLA provided for the development\nand maintenance by StreemSoft, and licensing to the Company, of certain portions of the Company’s food service technology software,\nthe hosting of certain web-based software applications, and the payment by the Company of certain fees, including a revenue-sharing arrangement\nwith StreemSoft."}
