(the “Company”) held its Annual Meeting of Stockholders (the “Annual Meeting”). The Company filed its definitive proxy statement for the proposals voted upon at the Annual Meeting with the Securities and Exchange Commission on April 28, 2026 (the “Proxy Statement”).\n\nAt the close of business on April 27, 2026, the record date of the Annual Meeting, the Company had 43,023,959 shares of common stock outstanding and entitled to vote. The holders of a total of 38,237,214 shares of common stock were present at the Annual Meeting, either in person or by proxy, which total constituted a quorum of the issued and outstanding shares on the record date of the Annual Meeting.\n\nThe following proposals were submitted to the Company’s stockholders at the Annual Meeting:\n\n1.The election of four nominees as Class III directors to serve until the Company’s 2029 annual meeting of stockholders.\n\n2.An advisory vote to approve, on a non-binding basis, the Company’s named executive officer compensation.\n\n3.The ratification of the appointment of Ernst & Young LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2026.\n\nThe number of votes cast for and against or withheld and the number of abstentions and broker non-votes with respect to each matter voted upon, as applicable, are set forth below:\n\n1.        Board of Directors Election Results\n\nThe following nominees were elected to serve as Class III directors for a term that will continue until the 2029 annual meeting of stockholders or until their respective successors have been duly elected and qualified.
