The Company has initiated a search for a permanent successor to Mr. Weinswig as Chief Financial Officer of the Company.\n\nEffective as of June 15, 2026, Andrew Clipsham, the Company’s Senior Finance Director, EMEA & ANZ, will serve as the Company’s Interim Chief Financial Officer and as the Company’s principal financial officer and principal accounting officer.\n\nMr. Clipsham has led Turtle Beach’s international finance organization since 2019, overseeing the Company’s financial operations including financial reporting, accounting operations, and internal controls. He brings over 20 years of global financial experience to the role, having previously served in leadership positions at PepsiCo, SABMiller, Sony Europe and HJ Heinz.\n\nThere are no family relationships between Mr. Clipsham and any of the Company’s current or former directors or executive officers. Mr. Clipsham is not a party to any transaction that would require disclosure under Item 404(a) of Regulation S-K promulgated under the Securities Act of 1933, as amended (the “Act”)."}
