Risk Factors**\n\n \n\nThere\nhave been no material changes to the risk factors previously disclosed in Part 1, Item 1A of our Annual Report on Form 10-K for the year\nended December 31, 2025, except as follows:\n\n \n\n**Risks\nRelated to Colombia and Other Countries Where We Operate**\n\n \n\n**Our\nbusiness could be negatively impacted by political or economic tensions between Colombia and the United States.**\n\n \n\nOur\nbusiness operations and financial performance could be adversely affected by political or economic tensions between the governments of\nColombia and its neighbor country Venezuela, and the United States, mostly influenced by differences in political orientation and policy\npriorities between such country’s administrations. Given that our manufacturing facilities are based in Colombia and 96% of our\nsales for the fiscal year ended December 31, 2025, occurred in the United States, any deterioration in diplomatic or economic relations\nbetween the countries, including the imposition of trade restrictions, tariffs, sanctions, limitations on cross-border payments, or other\nmeasures resulting from political disagreements between the President of Colombia Gustavo Petro, and the President of the United States\nDonald Trump, could negatively affect our ability to conduct business in the U.S., increase our costs, or restrict access to financial\nand commercial channels.\n\n \n\nOn\nApril 2, 2026, the United States announced modifications to tariffs imposed under Section 232 of the Trade Expansion Act of 1962 on imports\nof aluminum, steel, and certain derivative products, which became effective on April 6, 2026. These changes include, among other things,\napplying tariffs to the full customs value of certain imported products and introducing a range of tariff rates depending on the composition\nof such products, including a reduced tariff rate of approximately 10% for certain products manufactured abroad using U.S.-origin aluminum,\nwhich were previously exempt.\n\n \n\nAlthough\nno “reciprocal” tariff initiative against Colombia is active as of the date of this report, there can be no assurance that\nsuch measures will not be introduced in the future. Any such developments could have a material adverse effect on our revenues, profitability,\nand overall business prospects."}
