The proposals listed below are described in more\ndetail in Live Oak’s definitive proxy statement filed with the Securities and Exchange Commission (the “SEC”) on May\n27, 2026 (as supplemented, the “Definitive Proxy Statement”). Capitalized terms used but not otherwise defined herein shall\nhave the meanings ascribed to such terms in the Definitive Proxy Statement, as applicable.\n\n \n\nOnly Live Oak shareholders of record as of the\nclose of business on May 7, 2026, the record date for the Meeting, were entitled to vote at the Meeting. As of the record date, 28,750,000\nLive Oak Ordinary Shares were issued and outstanding, consisting of 23,000,000 Live Oak Class A Ordinary Shares and 5,750,000 Live Oak\nClass B Ordinary Shares. The votes cast were as follows:\n\n \n\n**For**\n \n**Against**\n \n**Abstain**\n\n20,282,626\n \n2,830,533\n \n0\n\n \n\nAs there were sufficient votes at the time of\nthe Meeting to approve each of the above proposals, the “Adjournment Proposal” described in the Definitive Proxy Statement\nwas not presented to Live Oak shareholders.\n\n \n\nIn connection with the Meeting, holders of 18,438,659\nLive Oak Class A Ordinary Shares exercised their rights to redeem their shares for a pro rata portion of the funds in the trust account\nof Live Oak (the “Trust Account”). As a result, approximately $48.1 million remains in the Trust Account."}
