The\nChapter 11 Cases were commenced to conduct a comprehensive restructuring of the Company’s capital structure (the “Restructuring\nTransactions”) through a joint prepackaged plan of reorganization (the “Plan”)\npursuant to a Restructuring Support Agreement, dated as of May 13, 2026 with majorities of senior lenders (the “Restructuring\nSupport Agreement”). As previously disclosed by the Company, the Plan provides for fully committed debtor-in-possession\nfinancing as well as exit financing. On May 28, 2026, certain of the Debtors entered into two debtor-in-possession credit facilities\n(together, the “DIP Facilities”) providing for a total of $142.5 million\nof new money funding, as described further below. On May 29, 2026, certain of the Debtors also entered into an amendment and\nrestatement of the Company’s existing $150 million accounts receivable securitization program. The DIP Facilities and the\namended and restated securitization facility were put in place to provide the Debtors with operating liquidity during the Chapter 11\nCases, as described below.\n\n  \n\n*Additional\nInformation on the Chapter 11 Cases*.
